Chairman Cannot Override Managing Director Without Hearing: P&H High Court Quashes Disciplinary Action for Lack of Jurisdiction & Natural Justice

Held: The Punjab & Haryana High Court held that a Chairman of a Cooperative Sugar Mill has no independent authority to override or nullify reasoned orders passed by the Managing Director in disciplinary matters. Any such action, taken without jurisdiction and without affording an opportunity of hearing, violates principles of natural justice and is liable to be quashed.

Summary: The present batch of writ petitions arose from a common factual matrix concerning disciplinary proceedings initiated against employees of a Cooperative Sugar Mill. The petitioners challenged an order dated 21.05.2025 passed by the Chairman of the Board, which effectively nullified prior speaking orders of the Managing Director that had exonerated them.

At the outset, the Court dealt with an impleadment application filed by a complainant who claimed to be a whistleblower. The Court rejected the application, reiterating settled principles of locus standi in service jurisprudence. It held that only a person who suffers a legal injury can maintain or participate in such proceedings, and a complainant or whistleblower cannot assume the status of an adversarial litigant. The Court emphasized that service disputes are personal in nature and cannot be converted into public interest litigation by third parties.

On merits, the petitioners argued that the Chairman lacked jurisdiction under the Haryana Cooperative Societies Act and the applicable service rules to interfere with disciplinary decisions taken by the Managing Director. They further contended that the impugned order was passed without supplying material, without issuing notice, and without granting an opportunity of hearing.

The Court noted that the Managing Director had passed detailed speaking orders after considering replies and records, and even subsequent vigilance inquiries found no misconduct. Despite this, the Chairman issued the impugned order without recording reasons or identifying any error in the earlier findings.

Rejecting the State’s argument that the order was merely a preliminary administrative step, the Court held that even administrative actions must comply with principles of fairness when they adversely affect rights.

The Court reiterated that the existence of a legal right is the sine qua non for invoking writ jurisdiction and that interference is justified where there is arbitrariness, perversity, or violation of natural justice.

Decision: The High Court allowed all the writ petitions and quashed the impugned order dated 21.05.2025 along with all consequential proceedings. It held that the Chairman’s action was without jurisdiction, arbitrary, and in complete violation of the principles of natural justice, particularly the rule of audi alteram partem. The Court further directed restoration of status quo ante, thereby reinstating the position as it existed prior to the impugned order.
